Escisión financiera: Método de reorganización de grupos empresariales

En este trabajo se ha pretendido, mediante la utilización de la escisión financiera,
lograr la reorganización de un importante grupo empresarial del sector vitivinícola
español, propietarios de varias bodegas en cinco denominaciones de origen.
Para realizar este trabajo se han empleado las técnicas propias de las
combinaciones de negocios como medio para reorganizar la estructura de grupo
empresarial para, de este modo, facilitar una financiación adecuada, permitir la
entrada de inversores, nuevos socios y las desinversiones necesarias para
reorientar las estrategias del grupo. En estas técnicas se han empleado los
conocimientos adquiridos en el Máster de Contabilidad y Gestión Financiera de
la Facultad de Ciencias Económicas y Empresariales de la Universidad de
Valladolid.
En concreto se ha elegido la escisión financiera, como especialidad de la
escisión parcial, como medio para modificar la actual estructura del grupo para
llevar al objetivo de la estructura diseñada para cumplir los objetivos estratégicos
del grupo. El objetivo contempla que la reorganización se haga sin coste
tributario acogiéndose a las ventajas fiscales que determina la Ley del Impuesto
sobre Sociedades.
In this work it has been intended, through the use of the financial division, to
achieve the reorganization of a major business group in the Spanish wine sector,
owners of several wineries in five appellations of origin.
To carry out this work, business combination techniques have been used as a
means of reorganising the corporate group structure, thus facilitating adequate
financing, allowing the entry of investors, new partners and divestments needed
to reorient the group’s strategies. These techniques have used the knowledge

acquired in the Master of Accounting and Financial Management of the Faculty
of Economic and Business Sciences of the University of Valladolid.
In particular, financial excision has been chosen as a speciality of the partial
excision as a means of modifying the current group structure in order to achieve
the objective of the structure designed to fulfil the group’s strategic objectives.
The objective is for the reorganization to be carried out at no tax cost, benefiting
from the tax advantages established by the Corporate Tax Law.
