Celebración de juntas generales a través de medios telemáticos

Abstract

El presente trabajo pretende mostrar, cómo el derecho de sociedades ha tenido que adaptarse a las nuevas circunstancias que la pandemia causada por el Covid-19 provocó en nuestro país. El estado de alarma se declaró durante el primer semestre del año, fecha en la que se celebran las juntas generales de las sociedades, por lo que era necesario tomar rápidamente decisiones, en lo que a materia legal se refiere, para permitir celebrarlas sin comprometer las normas sanitarias. En concreto, veremos cómo la ley se ha ido modificando para permitir el uso de los medios de comunicación a distancia, para poder celebrar las juntas generales de las sociedades anónimas en territorio español

This research work aims to show how the Company Law has to adapt to the new circunstances that the pandemic caused by Covid-19 caused in our country. The State of Alarm was decreed during the first half of the year, period in witch the general meetings of the companies are held. So it was neccesary to make a decisions quickly, as far as legal matters are concerned, to allowthem to be held without compromising health normative. Specific, we sill see how the law has been addapted to allow the use of remote means of communication, to be able to hold the general meetings of public limited companies in the spanish territory.
